Welcome to JobRTS (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website and/or online services, including any related applications or APIs (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and any referenced policies (such as our Privacy Policy).

If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

  1. You must be at least [18] years old (or the age of majority in your jurisdiction) to use our Service.
  2. You are not permitted to use the Service if you are barred from receiving services under the laws of the jurisdiction in which you reside or from which you use the Service.

3. Description of the Service

Our Service provides the ability to track docx resume file openings and enter/update information about the user’s job applications. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

4. Account Registration and Security

  1. Account Creation: To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.
  2. Account Security: You are responsible for maintaining the confidentiality of your account credentials (username, password, API keys, etc.) and all activities that occur under your account.
  3. Unauthorized Access: You must promptly notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any losses caused by unauthorized use of your account.

5. Payment and Fees (If Applicable)

  1. Subscription Plans: Our Service is offered on a subscription basis, and you agree to pay all applicable fees in accordance with the selected subscription plan.
  2. Billing: Fees may be billed in advance or on a recurring basis, depending on your plan. You authorize us to charge your designated payment method for all fees as they become due.
  3. Refunds: All fees are non-refundable unless otherwise stated in a separate written agreement or required by law.

6. User Conduct and Prohibited Uses

You agree not to engage in any of the following prohibited activities:

  1. Illegal Activities: You will not use the Service for any illegal or unauthorized purpose, including (but not limited to) violating any intellectual property or data privacy laws.
  2. Harassment or Harm: You will not use the Service to threaten, harass, or otherwise harm any individual or group, or to send unsolicited or harassing communications to others.
  3. Security Violations: You will not attempt to probe, scan, or test the vulnerability of any system or network or breach any security or authentication measures.
  4. Data Misuse: You will not upload or transmit harmful or malicious code, viruses, or data designed to disrupt or gain unauthorized access to any aspect of the Service.
  5. Excessive Use: You will not place an unreasonable or disproportionately large load on the Service, as determined by the Company in its sole discretion.
  6. Automated Access: Unless permitted in writing, you will not use any automated system (e.g., “robots,” “spiders,” etc.) to access the Service in a manner that sends more request messages than is humanly possible.

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law.

7. Intellectual Property Rights

  1. Service Content: Unless otherwise noted, we own or license all right, title, and interest in and to the Service, including but not limited to text, graphics, logos, software, and user interfaces.
  2. User-Generated Content: You may be permitted to post, upload, or submit content through the Service. You retain any rights you hold in that content, but by uploading it, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content as needed to provide the Service.
  3. Trademarks: All Company trademarks, service marks, trade names, logos, and domain names are the property of the Company. Any use of these without our prior written permission is strictly prohibited.

9. Termination

  1. Termination by You: You may stop using the Service and/or close your account at any time.
  2. Termination by Us: We may suspend or terminate your access to the Service at any time for violation of these Terms or if we determine the Service is no longer viable.
  3. Effect of Termination: Upon termination, your right to access or use the Service will cease at the end of the current billing cycle. Any provisions intended to survive termination (including disclaimers of warranties, limitation of liability, and indemnification) shall remain in effect.

10. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by applicable law, under no circumstances shall the Company (or its officers, directors, employees, or agents) be liable for any indirect, incidental, special, consequential, or exemplary damages (including but not limited to loss of revenue, profits, data, or business opportunities), arising out of or related to your use of (or inability to use) the Service, regardless of legal theory and whether or not the Company has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your:

  • Use of the Service
  • Violation of these Terms
  • Violation of any law or regulation
  • Infringement of any third-party right, including intellectual property or privacy rights

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the federal or state courts located in the United States of America, and you consent to personal jurisdiction in such courts.

14. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the “Effective Date” at the top. Your continued use of the Service after any such change constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

15. Miscellaneous

  1. Entire Agreement: These Terms, together with any referenced policies, constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.
  2. No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  3. Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be interpreted to fulfill its intended purpose to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
  4. Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
